1. Overview of Service

Evolve Media Collective ("the Agency") provides AI-generated listing video production services ("Story Film") to real estate professionals ("the Client"). This agreement governs the terms under which those services are provided.

The Story Film is produced entirely through AI-assisted tools and workflows. No on-location shoot or physical presence at the property is required. The final deliverable is a short-form video designed for use in digital marketing and social media promotion of a real estate listing.

2. Client Photo Submission & Rights

2.1 Submission Requirement

The Client is responsible for providing all reference photos to be used in the production of the Story Film. Photos must be submitted in digital format at the time of project initiation or as otherwise arranged.

2.2 Photo Quality

The visual quality of the final Story Film is directly dependent on the quality of the photos provided. The Agency strongly recommends submitting high-resolution, well-lit images. The Agency reserves the right to request replacement photos if the submitted images are deemed too low in quality to produce a satisfactory result. The Agency is not responsible for output quality limitations resulting from poor-quality photo submissions.

2.3 Client Warranty of Rights

By submitting photos for use in this project, the Client warrants and represents that:

  • They hold all necessary rights, licenses, and permissions to use the submitted photos for commercial marketing purposes;

  • The photos are not subject to any third-party copyright, exclusivity agreement, or restriction that would prevent their use in the Story Film;

  • The Agency is authorized to use the submitted photos solely for the purpose of producing the Client's Story Film.

The Client agrees to indemnify and hold Evolve Media Collective harmless from any claims, damages, or legal actions arising from the unauthorized use of submitted photos.

3. Production Process & Timeline

3.1 Delivery Timeline

The Agency will deliver the completed Story Film within 5 business days of the Client's written approval of the video outline (see Section 3.2). Production will not commence until the video outline has been approved and all required reference photos have been submitted. Where a deposit arrangement has been agreed upon in writing, production may begin upon receipt of the deposit, subject to the terms of that arrangement.

3.2 Video Outline Approval

Prior to full production, the Agency will provide the Client with a video outline for review and approval. The video outline will include the proposed concept, script, voiceover direction, and visual structure of the film.

The Client is responsible for reviewing the video outline carefully before approval. The Client agrees to provide written feedback or approval within 3 business days of the video outline being delivered. Delays caused by the Client's failure to respond within this window are not the responsibility of the Agency and may affect the final delivery date. Major elements such as characters, voiceover voice, and script direction may only be changed free of charge at the video outline stage. Once the Client has approved the video outline in writing, changes to these major elements may incur additional production charges (see Section 4 — Revisions & Out-of-Scope Work).

3.3 Delivery Method

The completed Story Film will be delivered via email as a downloadable video file. It is the Client's responsibility to download and back up the file upon receipt. The Agency is not liable for any issues arising from the Client's failure to save a local copy of the delivered file.

4. Revisions & Out-of-Scope Work

4.1 Included Revisions

Each project includes 2 rounds of revisions to the completed video. Revision requests must be submitted in writing via email and must be clear and specific. Revisions are considered minor adjustments to the existing production (e.g., timing, minor visual changes, caption edits).

4.2 Major Changes After Outline Approval

The following are considered major changes and are only permitted without additional charge prior to video outline approval:

  • Changes to AI-generated characters or models who appear multiple times throughout the video. This does not apply to a character or individual who appears only once, as such changes are considered minor;

  • Changes to the voiceover voice or narrator style;

  • Significant script rewrites or changes to the video's narrative direction.

If major changes are requested after the video outline has been formally approved in writing, the Agency will advise the Client of any applicable additional costs before proceeding. Major changes requested after production is complete may be treated as a new project.

4.3 Additional Production Work

Any production or editing work outside the scope of this agreement will be billed at the Agency's standard rate of $95 USD per hour ($125 CAD per hour). The Agency will always notify the Client in writing before undertaking any out-of-scope work.

5. Payment Terms

Full payment is required prior to the commencement of production, unless otherwise agreed upon verbally or in writing between both parties. By submitting payment, the Client acknowledges acceptance of these terms and conditions.

Payment may be made via credit card or e-transfer to evolvemediatoday@gmail.com. Late processing fees and interest will be applied to any accounts more than 30 days overdue.

6. Refund Policy

The Client may request a refund within 14 days of the project start date (defined as the date of initial payment), provided that:

  • The video outline has not yet been approved in writing by the Client; and

  • No full production work has been completed.

Once the Client has approved the video outline in writing, no refunds will be issued under any circumstances, as production will have commenced based on that approval.

7. Licensing & Copyright

7.1 Client License

Upon receipt of full payment, the Client is granted a non-exclusive, non-transferable license to use the delivered Story Film for digital marketing, social media, and promotional purposes related to the subject real estate listing. This license is granted in perpetuity.

7.2 Restrictions on Resale & Transfer

The Story Film may not be resold, sublicensed, or transferred to any third party — including to another agent who takes over an expired or withdrawn listing — without prior written authorization from the Agency.

7.3 Agency Ownership & Portfolio Use

All intellectual property rights, including copyright, in the Story Film remain the exclusive property of Evolve Media Collective. The Agency retains the right to use the finished Story Film for its own marketing, portfolio, and promotional purposes, including on social media and its website, unless the Client provides a written request to opt out of this use at the time of project initiation.

7.4 Copyright Compliance

Failure to fulfill payment obligations for the Story Film will be considered a breach of this agreement and a copyright violation. In such cases, the Client will be required to immediately remove the film from all digital and printed forms of advertisement. Continued unauthorized use may result in legal action.

8. Communication

All project communication, feedback, revision requests, and approvals must be submitted in clear, concise writing via email. Verbal approvals are not binding. The Client agrees to respond to questions or requests from the Agency within 3 business days to avoid production delays. Delays caused by the Client's failure to respond in a timely manner are not the responsibility of the Agency.

9. General Conditions

9.1 Acceptance of Terms

By engaging the services of Evolve Media Collective and submitting payment, the Client acknowledges they have read, understood, and agreed to all terms and conditions outlined in this agreement.

9.2 Changes to Services and Terms

Evolve Media Collective reserves the right to modify, suspend, or discontinue any aspect of its services at any time, and to update these terms without notice. It is the Client's responsibility to stay informed of current terms.

9.3 Non-Solicitation

During the engagement and for three years following its conclusion, the Client agrees not to directly or indirectly solicit, recruit, or encourage any Evolve Media Collective employee or contractor to leave their position or pursue opportunities elsewhere.

9.4 Limitation of Liability

To the maximum extent permitted by law, Evolve Media Collective shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of its services, including loss of profits, data, or business opportunities. The Agency's total liability shall not exceed the amount paid by the Client for the specific project in question.

9.5 Indemnification

The Client agrees to indemnify and hold Evolve Media Collective, its employees, and agents harmless from any claims, damages, or losses arising from the Client's use of the delivered materials, violation of these terms, or infringement of third-party intellectual property rights — including unauthorized photo submissions.

9.6 Force Majeure

Evolve Media Collective shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, pandemics, or governmental restrictions.

9.7 Governing Law

This agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada. Any dispute arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of British Columbia.

9.8 Entire Agreement

This agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral.

Acceptance of Terms

No handwritten or electronic signature is required to enter into this agreement. By submitting payment (in full or as a deposit, where applicable) for Story Film production services, the Client acknowledges that they have read, understood, and agreed to all terms and conditions set out in this Service Agreement. This constitutes a binding agreement between the Client and Evolve Media Collective.
